Terms of Service

1. Acceptance of Terms

By accessing or using the SpinDynamics, Inc. ("SpinDynamics," "we," "us," or "our") platform, you agree to be bound by these Terms of Service ("Terms"). If you are using the platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

You must be at least 18 years of age to use our services. By creating an account, you represent that you meet this age requirement.

2. Description of Service

SpinDynamics provides an AI inference orchestration platform, including but not limited to:

• The SpinDynamics inference mesh and routing engine
• RESTful and gRPC APIs for model deployment and inference
• Client SDKs (Python, TypeScript, Go, Rust)
• The SpinDynamics dashboard for monitoring, configuration, and analytics
• Documentation and developer resources

Features and availability may vary by plan tier and are subject to change with reasonable notice.

3. Account Terms

• You are responsible for maintaining the confidentiality of your account credentials, including API keys and access tokens.
• Each account is intended for use by a single individual or organization. Sharing credentials across organizations is prohibited.
• You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
• You are responsible for all activity that occurs under your account, whether or not authorized by you.
• You must notify SpinDynamics immediately at security@spindynamics.net if you suspect unauthorized access to your account.

4. Acceptable Use

You agree not to use the SpinDynamics platform to:

• Engage in any illegal activity or violate applicable laws and regulations.
• Reverse engineer, decompile, or disassemble any part of the platform or its underlying systems.
• Attempt to circumvent rate limits, usage quotas, or other technical restrictions.
• Publish performance benchmarks or comparative analyses of the platform without prior written consent from SpinDynamics.
• Interfere with or disrupt the integrity or performance of the platform or its components.
• Access or attempt to access accounts, systems, or data belonging to other customers.

5. API Usage & Rate Limits

API usage is subject to the rate limits and quotas specified by your plan tier. SpinDynamics reserves the right to throttle or temporarily suspend access in cases of excessive usage that impacts platform stability.

A fair use policy applies to all plans. SpinDynamics may contact you if your usage pattern significantly deviates from typical usage for your plan tier, and will work with you to identify an appropriate plan.

6. Intellectual Property

• SpinDynamics IP — The platform, including its software, APIs, documentation, design, and all related intellectual property, is and remains the sole property of SpinDynamics, Inc.
• Customer IP — You retain all rights, title, and interest in your models, data, configurations, and outputs generated through your use of the platform. SpinDynamics claims no ownership over customer content.
• Feedback — If you provide feedback or suggestions, SpinDynamics may use such feedback without obligation to you.

7. Payment Terms

• Paid plans are billed monthly or annually, as selected during subscription.
• All fees are non-refundable except where required by law or as explicitly stated in an Enterprise agreement.
• Subscriptions auto-renew at the end of each billing period unless cancelled with at least 30 days written notice before the renewal date.
• SpinDynamics reserves the right to modify pricing with 30 days advance notice. Price changes will take effect at the start of the next billing cycle.
• Overdue payments may result in suspension of access to the platform.

8. Service Level Agreement (SLA)

SpinDynamics targets 99.95% monthly uptime for the core inference API. Uptime is measured as the percentage of total minutes in a calendar month during which the API is operational and responsive.

In the event that monthly uptime falls below the target, affected customers on paid plans may be eligible for service credits:

• 99.0% - 99.95% uptime: 10% credit of monthly fee
• 95.0% - 99.0% uptime: 25% credit of monthly fee
• Below 95.0% uptime: 50% credit of monthly fee

Credit requests must be submitted within 30 days of the affected month. Scheduled maintenance windows are excluded from uptime calculations.
